The specific scope, specifications, deliverables, timelines, pricing, and responsibilities shall be determined by the applicable written quotation, contract, work order, purchase order, or project agreement.
All quotations are subject to technical, commercial, material, logistics, regulatory, and availability considerations. A quotation shall not constitute a binding order unless expressly accepted by SEACUREX in writing.
Any modification to specifications, quantities, drawings, materials, delivery requirements, or project scope may result in revised pricing and/or delivery schedules.
Products and engineering solutions shall be supplied in accordance with the specifications and standards expressly stated in the applicable contract or quotation.
Where applicable, SEACUREX works in accordance with relevant maritime, environmental, safety, classification, and statutory requirements. Its profile documents include references to IRS approval and marine standards for the SEACUREX TREAT sewage treatment plant.
Prices, taxes, duties, freight, insurance, installation, commissioning, and other applicable charges shall be as specified in the relevant commercial documentation.
Payment terms shall be those expressly agreed between SEACUREX and the customer. Late or overdue payments may affect delivery, production, mobilization, or continuation of services.
Delivery schedules are estimates unless expressly guaranteed in writing. For international transactions, customs clearance, import permissions, duties, taxes, port charges, transportation, insurance, and other destination-related requirements shall be allocated between the parties as specified in the applicable contract or agreed trade terms.
Customers are responsible for providing accurate delivery, vessel, port, consignee, and regulatory information required for execution of the order.
The customer shall provide reasonable access and cooperation for inspection, testing, installation, commissioning, or acceptance activities where required.
Any inspection or acceptance procedure shall be performed in accordance with the applicable project documentation. Failure to raise a documented objection within the agreed acceptance period may constitute acceptance, where such a provision is included in the contract.
Any warranty applicable to equipment, components, engineering work, or services shall be limited to the terms expressly stated in the relevant quotation, purchase order, warranty document, or contract.
Warranty coverage may not apply to damage arising from misuse, unauthorized modification, improper installation, abnormal operating conditions, inadequate maintenance, negligence, or use contrary to specified operating requirements.
The customer shall provide accurate technical information, drawings, vessel details, site conditions, access, utilities, approvals, permissions, and other information reasonably required for execution.
Any delay or additional cost resulting from inaccurate information, unavailable facilities, restricted access, customer-caused delays, or third-party dependencies may be treated as a variation to the agreed scope.
All drawings, engineering documents, designs, specifications, calculations, technical information, software, documentation, trademarks, and other intellectual property supplied by SEACUREX remain the property of their respective owners unless otherwise agreed in writing.
Neither party shall disclose confidential commercial or technical information received from the other party except where required by law, regulation, classification authority, or competent government authority.
To the maximum extent permitted by applicable law, SEACUREX shall not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from a service, supply, project delay, operational interruption, or third-party dependency, except to the extent such liability cannot legally be excluded.
Any specific liability limits shall be governed by the applicable contract or purchase agreement.
SEACUREX shall not be responsible for delay or non-performance caused by events beyond its reasonable control, including natural disasters, severe weather, fire, epidemic or pandemic restrictions, war, civil disturbance, strikes, port or vessel restrictions, government action, changes in law, transportation disruption, supply-chain interruption, or failure of third-party suppliers.
The affected party shall take reasonable steps to mitigate the impact and resume performance as circumstances permit.
The customer and SEACUREX shall comply with applicable laws, maritime regulations, environmental requirements, health and safety obligations, sanctions/export-control requirements, classification requirements, and port or flag-state requirements relevant to the project.
Where certification, approval, or regulatory acceptance is required, the applicable responsibility shall be determined by the project contract.
Unless otherwise agreed in writing, these Terms & Conditions shall be governed by the laws of India.
Any dispute shall first be addressed through good-faith commercial discussions between the parties. Where the dispute cannot be resolved amicably, the parties may pursue the dispute-resolution mechanism specified in the applicable contract or otherwise available under applicable law.
